This Provider Agreement (“Agreement”) applies to anyone who lists or delivers services as a provider (“Provider,” “you”) on the402, operated by Tolomato Capital, LLC. It supplements our Terms of Service; capitalized terms not defined here have the meaning given there. By listing a service, you agree to this Agreement — and see section 1A, which describes the explicit acceptance the402 records and requires before a listing can be sold through its checkout.
You must be at least 18 years old to operate a Provider account. The account holder agrees to this Agreement and the Terms of Service, owns or controls the payout wallet, and is responsible for all tax and reporting obligations. By onboarding you represent that you meet these requirements.
When you set a payout wallet and accept this Agreement, the402 deploys a payment contract for your account on Base. The contract is tied to your payout wallet, and its creation is recorded permanently on the public blockchain, where anyone can see that your payout wallet is associated with the402. Buyers pay that contract directly; it forwards 95% to your payout wallet and 5% to the402, and neither party can change it. If you would rather not associate a wallet you already use, set a different payout wallet before you accept; a new wallet produces a new contract, and an earlier contract that was created for a wallet you no longer use stays unused.
Acceptance is an explicit, versioned and recorded act. Each version of this Agreement carries the date shown at the top of this page, and the402 records which version you accepted and when. Accepting the current version is required before a listing of yours can be sold through the402 checkout; until it is recorded, your listings remain visible but are not purchasable here, and you can still edit or remove them at any time. When this Agreement is updated, the new version must be accepted in the same way. Accepting this Agreement is also your consent to the on-chain payment contract described above.
You can accept in either of two places: in your dashboard under Settings → Provider terms,
or over the API by sending accept_terms_version with the version you read on this page. Continuing
to list a service remains an agreement to these terms, but it is no longer the only mechanism — the recorded
acceptance is what the402 relies on.
You are solely responsible for the services you list and deliver. You agree to: describe your services accurately, including price, scope, and delivery time; deliver purchased services as described and within the stated timeframe; communicate with Agents in good faith; and only offer services you are lawfully able to provide. You — not the402 — are the party contracting with the Agent for the service. Purchases and communications may be initiated autonomously by AI agents acting on behalf of users; you agree to transact with automated Agents on the same terms as any other buyer.
the402 charges a platform fee of 5% on each purchase completed through the402 checkout. The price you list is the total price the buyer pays; the402 adds nothing on top of it. Of each payment, the payment contract forwards 95% to your payout wallet (the “Net Amount”) and 5% to the402. Your dashboard and each listing show the Net Amount at the current fee.
This section applies to purchases originated and completed through the402 checkout. It does not apply to your own public endpoints, your direct customers, or any other sales channel — the402 is not your only door, and you are free to sell wherever you like.
One price everywhere. For a service you list on the402, the price you list is the price the buyer pays, and the platform fee is absorbed from it: you list $100, an Agent buying through the402 pays $100, and you receive the Net Amount ($95 at the current 5% fee). You agree not to mark the same service up on the402 relative to the price you offer elsewhere, and not to offer that same service at a lower price through a direct channel to a buyer who found or bought it here.
No steering. In a deliverable returned to a buyer who purchased through the402, you agree not to solicit direct payment, publish a payment address or wallet, or advertise a discounted or fee-free direct channel for that service. Answering a buyer's own question about your business, or including your ordinary contact or documentation links, is not steering.
How we check. the402 may scan deliverables it relays for wallet addresses and off-platform payment links. We record only what was matched (the address or host, and the phrase categories found near it — never the surrounding text), a cryptographic hash of the deliverable, and a score; we do not store the deliverable itself. A risk signal reaches your trust record only when a match scores above a threshold the402 sets; a match below it is recorded internally and goes no further. A scan on its own never removes a listing: a finding is reviewed by a person before any action is taken, and you may contest it through the402's dispute process.
A buyer's payment for a service purchased through the402 checkout is sent directly to an on-chain payment contract deployed for your account and tied to your payout wallet. The contract forwards the Net Amount to your payout wallet and the platform fee to the402. the402 does not take custody of funds sent to the contract and cannot change its recipients or its split. Your Net Amount is forwarded from the contract to your payout wallet automatically after each payment settles.
Payments are made in USDC on the Base network. You are responsible for providing and controlling a valid payout wallet that can receive USDC on Base. Blockchain transactions are irreversible, and the402 is not responsible for funds sent to a wallet address you provided.
Until you have a valid payout wallet, a confirmed payment contract, and the other setup steps shown in your dashboard, your listings may remain unavailable for purchase through the402 checkout.
Purchases before this Agreement. A purchase made before this Agreement took effect, and any amount owed to you from it, is completed or paid under the rules that applied at the time. Purchases under this Agreement settle only as described in this section.
You are solely responsible for determining, collecting, reporting, and remitting any taxes arising from your sales through the402. the402 does not withhold taxes on your behalf and does not provide tax advice.
You may not list or deliver services that are illegal, fraudulent, deceptive, infringing, or otherwise prohibited under the Terms of Service. You may not manipulate reputation, reviews, or the referral program, circumvent platform fees or payment controls, or engage in self-dealing or sybil activity. We may remove listings that violate these rules.
If your services use webhook-based dispatch, you are responsible for maintaining a reachable, secure webhook endpoint and for verifying the HMAC-SHA256 signature on incoming payloads using your webhook secret. We monitor service health and may run automated quality checks. Services that repeatedly fail health checks or delivery may be automatically deactivated and reactivated upon recovery. If a listing is fulfilled at your own endpoint, you are responsible for honouring the signed order the402 sends with each paid request.
Buyers may report a service that was not delivered as described. the402 may investigate, request information from you, and record its determination. That determination is recorded on your public trust record and can affect your verdict and whether your listings can be purchased through the402; it is not a decision about money, and you may contest it through the402's dispute process. Payments made through the402 checkout settle on chain and cannot be reversed by the402. You are responsible for any refund or other remedy you agree to provide or that applicable law requires, and you agree to cooperate in good faith with the402's review. A purchase made before this Agreement remains subject to the rules that applied at the time.
We may deactivate listings, suspend, or remove your Provider account if you violate this Agreement or the Terms of Service, fail compliance screening, or to protect the platform and its users. Removed participants may be permanently blocked from re-registering with the same wallet.
You represent that you have the right and ability to provide the services you list and that your services and conduct comply with applicable law. To the maximum extent permitted by law, the402 and Tolomato Capital, LLC disclaim liability for your services and for any dispute between you and an Agent, and the limitation of liability in the Terms of Service applies to this Agreement. You agree to indemnify and hold harmless the402 and Tolomato Capital, LLC from claims arising out of your services, listings, or violation of this Agreement.
This Agreement is governed by the laws of the State of Florida, USA, and the dispute-resolution and governing-law provisions of the Terms of Service apply.
